1.  PLATFORM TERMS OF USE

1.1 You are about to enter the Private Markets Alpha Limited Platform (the “Platform”). Please read this page before proceeding as it sets out important legal and regulatory information about the content on this Platform.  

1.2 This Platform is designed for use by professional clients only. If you are a retail client, please leave this Platform immediately.

1.3  PM Alpha cannot be responsible for any misrepresentations you may make by gaining access to this Platform.

1.4 The use of this Platform is subject to the following terms and conditions, which contain important legal, regulatory and risk information in respect of the content on this Platform (the “Terms”). 

1.5  After you have read and understood these Terms, you may click “I Agree” to confirm that you agree to the Terms. If you do not agree to these Terms, you must exit this Platform immediately.

1.6 You must read these Terms in conjunction with our Privacy Notice .

1.7n these terms, references to “us” and “we” refer to PM Alpha and references to “you” and “your” refer to any person accessing (or attempting to access) or using this Platform. 

 

2. ABOUT PM ALPHA

2.1  The information on this Platform is communicated and issued by Private Markets Alpha (“PM Alpha”). PM Alpha is an appointed representative (Firm reference number: 970004) and can act on behalf of its principal firm, Blackheath Capital Limited. PM Alpha is incorporated in England and Wales (Company Number: 13704424) with its registered office address at 11 Blackheath Village, London, United Kingdom, SE3 9LA. 

2.2 Please note that your access to documentation or information on this Platform does not mean that that documentation or information has been deemed to be suitable for you. You should always seek professional investment advice before making any investment decisions.

 

3. YOUR ACCOUNT

3.1 You have been granted access to the Platform on the basis that you have you have opened an account on the Platform by completing registration by providing us with accurate, complete and current information, as prompted by the Platform registration form. 

3.2 You must be eighteen (18) or older to use this Platform. 

3.3 We will treat failure to provide us with your accurate information during the registration process as a material breach of these Terms. It is your responsibility to ensure if any information changes (e.g., professional status, jurisdiction) you must inform us prior to accessing this Platform.

3.4 You agree to maintain only one account on the Platform at any time and certify that you currently have no other account(s) registered on the Platform.

3.5 You are solely responsible for maintaining the confidentiality of your username and password. 

3.6  You must change your password if you believe or suspect that the confidentiality of your password has been compromised. 

3.7 You must notify PM Alpha of any known or suspected unauthorised use of your account on the Platform. 

3.8  PM Alpha reserves the right to deny creation of your account based on PM Alpha’s inability to verify the authenticity of your registration information.

3.9  You must not sell, transfer or assign your account on the Platform to another party. 

3.10  PM Alpha may, at any time, disable or terminate your account, in its sole discretion, without notice . 

3.11 If we disable or terminate your account, you must not create another account without our permission.

4. ACCESS TO THIS PLATFORM

4.1  Access to the Platform has been provided based on information provided by you. PM Alpha cannot be responsible for any misrepresentations you may make by gaining access to this Platform. 

4.2 This Platform is not aimed at any US Person, as defined by Regulation S of the US Securities Act 1933 (as amended), or person acting on their behalf. This Platform is not for distribution in the United States of America and does not constitute an offer to or solicitation to buy any securities in the United States of America. Therefore, by accepting these Terms, you represent and warrant that you are not a US Person or acting on behalf of someone who falls within this definition. You further covenant that you will immediately cease the use of this Platform if this is representation and warranty is no longer true.

4.3 Certain documentation and information may not be available to all users of this Platform. You must not attempt to gain unauthorised access to the Platform through hacking, password mining or any other means. 

4.4  This Platform and the documentation and information contained on it is not addressed to any person in a jurisdiction that does not permit the distribution of such documentation and information. 

4.5 When using this Platform, you must comply with all applicable local, national and international laws, including laws relating to data privacy, international communications and exportation of technical and/or personal data.

4.6  It may be unlawful to access or download the information contained on this Platform in certain jurisdictions. PM Alpha, its directors, officers, employees and agents disclaim all responsibility if you access or download any information on this Platform in breach of any laws or regulation of the jurisdiction in which are located.

4.7 We do not make any warranty of any kind, express or implied, as to the continued operation, accuracy, correctness, completeness, or timeliness of the Platform. You are solely responsible for the accuracy and adequacy of the data and information you use and the resultant output thereof.

4.8 We do not make any warranty of any kind as to the compatibility of the Platform with your equipment or that the Platform will be free of errors, viruses, worms or “Trojan Horses” or any other corrupted, harmful or invasive files, and we cannot be liable for any damage that you may suffer as a result of any such destructive features. 

4.9 You must not use the Platform in any manner that could damage, disable, impair or overburden the Platform or its content, for an unlawful or immoral purpose, in any manner which may interfere with another party’s use and enjoyment of the Platform or in any manner that may damage PM Alpha’s reputation. 

4.10 PM Alpha reserves the right to suspend or withdraw access to any page(s) on this Platform without notice at any time and does not accept liability that may arise as a consequence of this suspension or withdrawal. 

 

5. NO ADVICE

5.1 The information on this Platform is provided for information only and does not constitute, and should not be construed as, research, investment advice or a recommendation to buy, sell or otherwise transact in any investment, including any products or services or an invitation, offer or solicitation to engage in any investment activity. 

5.2 The information on this Platform is provided solely on the basis that you will make your own investment decisions. PM Alpha does not take into account any investor’s financial situation, investment objectives or particular needs when carrying on its activities. 

5.3 Nothing on this Platform constitutes, or is intended to constitute, accounting, financial, legal or tax advice. 

 

6. INFORMATION ON THIS PLATFORM

6.1 PM Alpha has taken reasonable care to ensure that the information on this Platform is accurate, complete, current, fit for its intended purpose and compliant with applicable laws and regulation as at the date of its issue. 

6.2 Information on this Platform is only current at the date on which it is first published and may no longer be complete or true when you view it. 

6.3  To the extent that any information on this Platform relates to a third party, such information has been provided by that third party and is the sole responsibility of that third party. PM Alpha does not accept liability for such information. 

6.4 PM Alpha does not represent or warrant that the information on this Platform is accurate, complete or valid and, to the extent permitted by applicable laws, does not accept liability for the accuracy or completeness of such information.

7. USER CONTENT

7.1 Users of the Platform may provide material to the Platform, including, but not limited to, articles, comments, ratings and reviews (“User Content”). 

7.2 By providing User Content to the Platform, you agree, represent and warrant that you have granted us irrevocable permission to use the User Content, free of charge, in any manner that we see fit, including, but not limited to, for marketing, promotional activity and research. 

7.3 By providing User Content to the Platform, you agree, represent and warrant that the User Content:

(a)  does not violate or infringe the rights of others, including, but not limited to, copyright, patent, privacy, proprietary rights or trademark. 

(b)  is not abusive, defamatory, deceptive, fraudulent, harassing, libellous, threatening or unlawful. 

(c) does not contain an advertisement or solicitation of any kind. 

(d) does not contain viruses or any other computer code, files or programmes that may destroy, interrupt or limit the functionality of any computer software, hardware or telecommunications equipment or otherwise disrupt a computer network. 

7.4 You agree that you will not collect, for marketing or any other purpose, User Content posted by other users to the Platform. 

 

8. LIMITATION OF LIABILITY

8.1  PM Alpha does not warrant that the content on this Platform will be compatible with all browsers or computer systems or that this Platform will be available on an uninterrupted basis. 

8.2 PM Alpha does not accept any liability for any damage or losses arising from changes made to this Platform by unauthorised third parties. 

8.3 The internet is not a completely reliable medium for the transmission of information. PM Alpha and its affiliates do not accept any liability for data transmission errors such as data loss, damage or alteration of any kind or for the security or confidentiality of information transmitted across the internet to or from PM Alpha or any of its affiliates. Any such transmission of information is entirely at your risk and any material downloaded from this Platform is downloaded at your own risk. 

8.4  The information on this Platform is provided “as is”. To the extent permitted by law, PM Alpha, its affiliates and each of their directors, officers, employees and agents expressly exclude all conditions, warranties, representations and other terms which might otherwise be implied by statute, common law or the law of equity. 

8.5 PM Alpha and any of its affiliates will not be liable to any person for any consequential, indirect or special damages arising out of any use of, or inability to use, this Platform or the information contained on it including, but without limitation and any business interruption, loss of data, profits or programs. This does not affect the liability of PM Alpha and its affiliates for any damage or loss which cannot be excluded or limited under applicable laws. 

8.6 Nothing in these Terms is intended to exclude or restrict any duty or liability owed by PM Alpha to its clients under the UK’s legal and regulatory framework, including the Financial Conduct Authority’s rules.

We collect, use, store and transfer your personal data in accordance with our Privacy Policy. If you need any further information in relation to the content of our Privacy Policy, please contact us.

10.1 We may occasionally provide weblinks, also known as “hyperlinks” or simply “links” to other companies’ websites. We provide these links when we think that the information on other websites may be of interest to you.

12.3 You must obtain permission from PM Alpha to reproduce (in whole or in part), transmit (by electronic or other means), modify, hyperlink or use the content on this Platform for any commercial or public purpose. 

12.4 You must not transmit any computer code to this Platform which may be detrimental to it. 

12.5  It is your responsibility to ensure that any content you download from this Platform for your use is free of any computer code that may be detrimental to your device.

13.2 Any person who is not a party to these Terms may not enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

14.APPLICABLE LAW AND JURISDICTION

14.1 These Terms and any non-contractual obligations arising from or connected with them are governed by and must be construed in accordance with the laws of England and Wales. 

14.2  You agree that English courts will have exclusive jurisdiction in relation to any legal action or proceedings which may arise out of or in connection with these Terms, whether these arise out of or in connection with contractual or non-contractual obligations (the “Proceedings”) and waive any objection to Proceedings in such courts on the grounds of venue or on the grounds that the Proceedings have been brought in an inappropriate forum. 

14.3 You agree that PM Alpha is entitled to take the Proceedings in any other court or courts having jurisdiction. 

 

15. AMENDMENT

15.1 PM Alpha may amend or modify these Terms and the information contained on this Platform at any time.

15.2 Where we make any changes to these Terms, you will be required to accept such changes in order to continue using this Platform. If you do not accept such revised Terms, you may no longer be able to access this Platform.

15.3  If any provision of these Terms is found to be illegal, invalid or void under the laws of any jurisdiction, the legality, validity or enforceability of the remainder of these Terms in that jurisdiction will not be affected.
